Build a 12-Month Succession Runway So the Handoff Is Already in the Org Chart
A decade-scale handoff is built before the announcement: seat the successor, fix the overlap, contract pay, align equity, and plan board changes.

The runway is built before the name is public
A founder-to-successor handoff is easiest to see when the successor already has a job title, a date, and a contract on a 12-month runway. The public moment should confirm what the org chart already shows, not start the argument.
Stryker's Oct. 6, 2026 announcement named Spencer Stiles as the person succeeding Kevin Lobo as CEO and identified Kevin A. Lobo as the next Executive Chair, effective Jan. 1, 2027. The October 5, 2026 transition agreement left his base salary, bonus target and benefits unchanged, kept him as CEO through December 31, 2026, and barred new stock awards in the chair role. Kevin Lobo assumed the Stryker CEO role in October 2012 and had been board chair since July 2014 before the announced transition.
Lobo's 14-year CEO tenure coincided with Stryker's annual net sales rising from $8.7 billion in 2012 to more than $26 billion in 2026. The scale makes the handoff a governance problem, not a personality problem. Succession planning is easier when the successor has already been tested in a role that carries real authority.
The ten-year test is whether the handoff is already built
A decade-scale handoff rewards owners who treat the successor runway as a project with a budget, a timeline, and a board seat. The COO to CEO path is the most direct version, because the successor already knows the operating model and the board has seen the successor work under pressure. In family business succession, the family needs the same runway as the board.
The overlap with the outgoing CEO is the part of the runway that needs the clearest dates. A defined role, a fixed end date, and a clear transfer of authority keep the business from ambiguity while the market, the employees, and the family wait for answers. The board should agree on the chair role and the limit on new equity before the announcement.
When to announce succession is usually the wrong first question. The better question is what the successor has already done years before the handoff that makes the announcement a formality. Boards need to see the successor's judgment in a crisis, not just in a quarterly review.
The handoff becomes pre-built in five moves
- Seat the successor in a role that proves the handoff. Spencer Stiles had been Stryker President and COO since January 2026, nine months before the October 6, 2026 succession announcement and ahead of the January 1, 2027 leadership change. He had been at Stryker since 1999, with roles across Orthopaedics, MedSurg, and Neurotechnology.
- Set the overlap with the outgoing leader. The overlap is done when the outgoing leader has a defined role, a fixed end date, and no ambiguous authority. The usual mistake is leaving the overlap verbal. Ambiguity can undo years of preparation.
- Contract both pay packages before the public moment. The test is whether base salary, bonus target, benefits, equity, and restrictions are in writing. Starting January 1, 2027, Spencer Stiles' CEO base salary is $1,320,000 and his annual bonus target is 150% of that base salary. Owners often announce the name before the pay mechanics are settled, which creates a second negotiation after the first one.
- Align equity vesting to long-term performance. The standard is that the successor's equity is tied to a multi-year cycle, not a single annual number. Stryker will recommend in February 2027 a $14,200,000 target equity award to Spencer Stiles, split 40% stock options and 60% performance stock units, with options vesting over five years and performance units tied to a three-year cycle.
- Make board changes part of the plan. The board should show a scheduled successor seat, a set board size, and a clear outgoing role. Spencer Stiles will take over as CEO on January 1, 2027, join the board at that time, and the board will expand from 10 to 11 members.
